Sales Tax

What Ignoring Sales Tax is Actually Costing You

Kelley Birrell, Marketing Manager9 min

Every month you put off sales tax, your exposure grows. Interest runs from the day the tax was due, and states will not waive it. Penalties range from 10% to 50%, and most states waive them through a voluntary disclosure agreement (VDA), but only if you come forward before a state contacts you. Kelley Birrell explains why never filing brings a longer lookback than filing late, and what shifts the moment a state's letter arrives.

0:00 The number that isn't on your P&L

Right now, there's a number growing inside your business that doesn't show up on your P&L. You can't see it, but every month you keep selling, it keeps getting bigger, and that's your sales tax exposure. Most sellers don't realize this, but waiting isn't neutral. It's a decision. And that decision has a cost that compounds every single month.

In this video, I'm going to show you exactly how that cost builds, what you can still fix, and what closes off the longer you wait. And if you stay to the end, I'll tell you exactly what to do if you're already behind.

We had a call recently with a seller who's been running a seven figure Shopify store for four years. They knew they probably had sales tax obligations in multiple states and they'd been meaning to look into it, but every month something else took priority. A product launch, a supplier issue, Black Friday prep, hiring, inventory problems. Sales tax kept getting pushed. Next month, then next quarter, then next year, until they got a letter from California asking for sales data. And now they're getting it handled. And they have options, but they have fewer options than they would have had a year ago.

That's what this video is about. It's not for panic. It's to help you to understand what changes when you wait.

1:10 The rationalizations sellers use

Here's what we hear from sellers all the time. "We'll just fix it next quarter when things slow down." Or, "we're too small for states to care about us." Or, "no one's really coming after ecommerce sellers." Or, "it's too complicated to figure it out right now." Or, "hey, we didn't collect the sales tax so we don't really owe it, right?"

And I get it. These feel like reasonable explanations. But here's what's actually happening. Every month you delay adds another month of exposure. Not because you're bad at business, it's because you're continuing to sell. And every month of exposure adds to what you'll eventually need to address. The rationalization feels like you're buying yourself time, but what you're actually doing is making the eventual cleanup larger and more expensive.

1:55 Late filing versus never filing

Let's talk about something that most sellers don't understand. That's how states interpret non-filing versus late filing.

If you file your sales tax return late, but you do file it, states see that as an administrative delay. You owe penalties and you owe interest, but the situation is contained. But if you never file it at all, states interpret that differently. They're going to want to look further back to understand the full scope of what you owe.

So when sellers tell us, "Well, I just haven't gotten around to registering yet," what they don't realize is that that's a different category than someone who registered late but started filing. Late filing is an administrative issue. Non-filing looks like either you didn't know that you had an obligation or you chose not to fulfill it. The state's response is different for each.

2:41 Penalties can be waived, interest cannot

Let me break down what you're actually facing and what can be changed.

Penalties range from 10% to 50% depending on the state. These add up month after month until you file. Interest is different. Interest compounds annually. Most states charge somewhere between 6% and 12%.

And here's the important difference. Interest can't be waived. You owe interest from the day the tax was due. That's standard across states. But penalties can often be waived. If you come forward with a voluntary disclosure agreement, or VDA, before a state contacts you, most states will waive those penalties entirely.

So if you're thinking about timing, understand this. Every month you wait, you're adding interest that's permanent, but you're also increasing penalties that could potentially be waived if you act while VDAs are still available.

3:34 Why it stays abstract until the letter arrives

Here's why sales tax feels like something you can just keep putting off. It's abstract. You don't see the penalties building. You don't see the interest compounding. You don't see your name moving up anyone's list. You just see your business running. Orders are coming in. Revenue is growing. Everything feels fine, until you get a letter. And then it becomes very concrete very quickly.

Here's what's happening while it's all still feeling abstract. States are getting better at identifying sellers who have nexus but haven't registered. They're getting data from marketplaces. They're tracking economic nexus thresholds. They're comparing notes across state lines. The window where you might not be on their radar is getting smaller, not because they're targeting you specifically, but because their systems are getting better at identifying gaps. And by the time you receive a letter, some of your options have already narrowed.

4:33

There's a point where the dynamic changes. Before a state contacts you, you get to choose how to handle this. You can assess your exposure. You can decide which states to tackle first. You can file VDAs where they make sense. You can set your own timeline. You are being proactive.

After a state contacts you though, you're being responsive. You're working on their timeline. You're answering their questions. You're providing what they request. You still have options. Documentation, payment plans, negotiation. But you're responding to their process instead of running your own.

We've watched sellers go from "I'm thinking about getting compliant" to "oh my gosh, I need to respond to this letter in 30 days" pretty quickly. And that shift changes the experience. It's the difference between scheduling a checkup with your doctor because you want to stay healthy versus responding to symptoms that have already showed up. It's the same underlying situation. It's just a different level of control.

5:35 What matters and what changes when sellers act

Now, here's what matters. Every month you delay adds permanent interest you can't negotiate away and shrinks the window to eliminate penalties through a VDA. If you've never filed at all, that triggers a longer lookback, more years, more liability to sort through. Right now, you're in control. The timeline, the states, the approach. The moment a state contacts you first, that changes. You're on their timeline, not yours.

6:01

Here's what we see when sellers decide to address this. They've been putting it off. They know they probably have exposure. They're not sure how much or what to do about it.

So we walk through their situation. We identify which states they have nexus in. We calculate ballpark numbers. And here's what happens. The fear of the unknown becomes a plan for something known. They learn which states need VDAs, which states need simple registration, what the timeline looks like, what the cost is.

Within 90 to 120 days, they're compliant. They're collecting tax properly. They're filing regularly. They have payment plans for back taxes if they need them. The constant low level stress of "I really should deal with this" gets replaced with "it's handled." Not because the problem disappeared, but because they stopped choosing to defer it and started choosing to fix it.

6:56 What to do if you're already behind

You don't need to panic. You do need clarity and a plan. And if you've been watching this thinking, well, I'm already behind. Good. That awareness is the first step.
